Varian Files Form 10 And 8-K Reports

PALO ALTO, Calif. -- March 8, 1999 -- Varian Associates, Inc., today announced that it has filed Form 10 registration statements for its instruments and semiconductor spin-off businesses and an 8-K report for its remaining health care systems business with the Securities and Exchange Commission (SEC).

The company said the filings include information statements which provide expanded individual financial results for the three businesses for the first quarter of fiscal 1999. The filings are available through the SEC's Electronic Data Gathering Analysis and Retrieval system (EDGAR).

As reported in previous announcements, the company's shareholders and board of directors have approved the spin-off of the instruments and semiconductor equipment operations as independent, public companies and the renaming of the remaining entity as Varian Medical Systems. The distribution of shares is scheduled to take place April 2, 1999 to shareholders of record March 24, 1999.
